Terms of Service
Effective Date: January 2025
1. Services Provided
Luther Agency & Co., LLC provides branding, marketing, design, website creation, consulting, and related digital services. Specific deliverables, timelines, and payment schedules may be defined in proposals, quotes, or client agreements.
2. Client Responsibilities
Clients agree to:
- Provide accurate and complete information needed to complete the project
- Respond to messages and review requests in a timely manner
- Provide required logins, brand assets, or approvals
- Communicate any delays or changes promptly
Failure to provide required materials may delay project timelines.
3. Payments & Billing
A. Payment Terms
Payment terms vary by project and may include deposits, milestone payments, subscription fees, or pay-in-full pricing. All invoices must be paid by their due date.
B. Late Payments
Payments more than 7 days late may delay project progress. After 30 days, unpaid balances may be sent to collections.
C. Refund Policy
Due to the custom nature of our work, all payments are nonrefundable. If a client chooses to discontinue a project, work completed up to that point will be delivered but no refund will be issued.
4. Revisions
Each project includes a set number of revisions, outlined in your proposal. Additional revisions beyond what is included may incur extra fees.
5. Project Timelines
Timelines provided by Luther Agency & Co. are estimates and may be affected by client responsiveness, scope changes, technical issues, or other delays. We will always communicate updates if timelines need adjustment.
6. Scope Changes (“Scope Creep”)
Requests outside the originally agreed-upon scope may require a new quote, additional fees, or extended deadlines. Work will not begin without client approval.
7. Intellectual Property
A. Client Ownership
Once full payment is received, final deliverables (logos, graphics, brand assets, and website files) become the client’s property.
B. Luther Agency Ownership
We retain ownership of drafts, unused concepts, design tools, and non-final assets. We may display completed work in our portfolio or marketing materials unless the client requests otherwise in writing.
8. Copyright & Usage Rights
Clients are responsible for ensuring they have the rights to any materials they provide, such as images, fonts, or copy. Luther Agency & Co. is not liable for copyright violations related to client-provided content.
9. Website Services
For website projects, clients agree to:
- Provide hosting or platform logins
- Approve drafts promptly
- Supply text and images unless otherwise arranged
- Maintain the website after launch (unless on a maintenance plan)
We are not responsible for issues caused by third-party platforms, plugins, or hosting providers.
10. Cancellations
Clients may cancel at any time, but payments are nonrefundable. Completed work will be delivered upon cancellation. We may cancel a project if a client is unresponsive for 14 or more days.
11. Limitation of Liability
Luther Agency & Co., LLC is not responsible for lost profits, lost data, business interruptions, or damages resulting from misuse of deliverables or third-party service failures. Our total liability is limited to the amount paid for services.
12. No Guarantee of Results
While we use proven methods and best practices, we do not guarantee specific results such as revenue increases, website traffic, or social media performance.
13. Confidentiality
We keep all client information confidential unless required by law, permitted by the client, or needed to complete the project using approved contractors.
14. Termination
We may terminate services if the client violates these Terms, engages in abusive or unethical behavior, or fails to pay invoices. All completed work must be paid for upon termination.
15. Governing Law
These Terms are governed by the laws of the State of South Carolina.
16. Changes to These Terms
We may update these Terms at any time. Updated versions will be posted with a new effective date. Continued use of our services constitutes acceptance of revised Terms.
